Licensing Requirements and Expectations
To maintain the integrity of our technology and brand, all Disney SyncLink licensees must meet the following requirements:
Non-Exclusive Licensing Agreement
All licensee are non-exclusive.
Creative Asset Approval
All creative design, product packaging, and artwork related to Disney licensed and branded products products must be submitted for approval for brand alignment
Quarterly Reporting
Licensees must submit quarterly marketing, sales, and royalty reports
Pre-Approval for Sales & Marketing
Disney must review and approve all SyncLink marketing plans, promotional materials, and sales channels (including distributors)
Minimum Annual Royalty Commitment
Licensees are required to provide a guaranteed minimum annual royalty
Annual Administrative Fee
An annual license fee is required for Disney support and program resources.
Disney SyncLink Co-Development Workflow
This process outlines the pathway from early technology development discussions to a full licensing agreement for external commercialization and potential Disney SyncLink Technology deployment.

New Technology Development
Development partner’s proposed new solution or innovation with potential for Disney or external market use.

NDA/MNDA (Mutual Non-Disclosure Agreement)
Disney and potential licensee acknowledge interest in co-development. NDA or MNDA is executed if proprietary, non-public information will be exchanged.

Technology Proposal
Submission of a business use case and technology requirements for a Proof of Concept (PoC) or Minimal Viable Product (MVP) as well as a go-to-market strategy.

Proposal Confirmation and Next Steps
Internal Disney use and market viability are assessed to determine full licensing potential. IP ownership and contribution terms are agreed upon. Development collaboration begins, including ideation with Disney Worldwide Safety, Health, Engineering, and Sourcing.

License Agreement
A non-exclusive license is granted for external marketing and sales. Agreement includes terms for IP ownership, royalties, and use of the Disney name and branding. Development, marketing, and distribution for the external marketplace begins. Potential deployment within a Disney Line of Business is evaluated.
